| Abstract | 法人是一個有著悠久曆史的重要的法律概念，它整合了發展曆程貫穿羅馬法、中世紀和後中世紀的多個概念和制度。本文將以時間為序，系統地對這些經驗事實進行考據，探討法人概念和制度的曆史源流，包括法人各類型的形成過程，尤其是社團和財團的早期發展曆程；接著，本文將圍繞曆史上出現的著名的法人擬制說和法人實在說，探討法人的法律人格問題以及法人與其代表之間的關系問題；最後，鑒于法人理論和制度在現當代的最新發展主要體現在公司法領域，本文將簡略地論述與公司相關的幾個特別問題。本文主要以私法為導向和切入，但亦觸及公法中與法人制度有著重要聯系的國家理論。 The Juristic Person is an important legal concept with a long history. It integrates the concepts and systems of a development process throughout the Roman law, the Middle Ages and the post-Medieval. First of all, we will systematically examine these empirical facts in a chronological order, and explore the historical origin of the concept and system of Juristic Person, including the formation process of various types of Juristic Person, especially the early development of associations and foundations; then we will talk about the legal personality of the Juristic Person and its relationship with its representatives; finally, given that the latest developments in the theory and system of the Juristic Person are mainly reflected in the field of corporate law, we will briefly address a few specific issues related to the company. In this article, we mainly focus on private law, but also touch on some theories of public law which have an important connection with the Juristic Person. |
